STACKS Affiliate Program Terms
Effective Date: April 1, 2025
These Terms and Conditions ("Terms") govern participation in the STACKS Affiliate Program ("Program"), operated by STACKS ("we," "us," or "our"). By participating in the Program, you ("Affiliate" or "you") agree to abide by these Terms.
1. Definitions
- STACKS: The audio software marketplace.
- Affiliate: An individual or organization approved by STACKS to promote products listed on the platform.
- Brand: A developer of audio software or audio tools with products listed on STACKS.
- Affiliate Profile: A page on STACKS representing an affiliate, which may display curated product selections.
- Referral: A user who begins a purchase from a link or profile associated with an affiliate.
- Qualified Sale: A completed, non-refunded purchase made without leaving the checkout flow after clicking an affiliate link or profile. Self-referrals and refunded transactions are excluded.
- Default Terms: Commission terms set by a brand, available to all STACKS-approved affiliates. These terms may range from 5% to 70% of the purchase price (top-line revenue). (Opt-in only)
- Custom Terms: Unique commission terms proposed by a brand or affiliate, accepted or countered through the STACKS platform.
- Proposal: A commission offer sent between a brand and an affiliate within the STACKS platform.
- Approved Affiliate: An affiliate vetted and manually approved by STACKS.
- Commission: Payment earned by affiliates, calculated as a percentage of the purchase price under either default or custom terms.
2. Eligibility & Enrollment
The Program is open to individuals and organizations whose primary purpose is to educate or entertain within the audio production space. Audio software retailers and developers are not eligible. Affiliations with such entities must be disclosed during enrollment and kept up to date.
Affiliates are manually reviewed and approved by STACKS. Participation may be revoked at any time by STACKS, a brand, or the affiliate themselves.
3. Affiliate Conduct
Affiliates must:
- Accurately represent STACKS and the products they promote.
- Hold confidential details related to terms set with Brands.
- Follow brand guidelines.
- Comply with all applicable laws and regulations.
- Refrain from spamming, misleading claims, and false advertising.
- Avoid promoting content that is discriminatory, sexually explicit, hateful, or otherwise harmful to STACKS or its brands.
- Not engage in paid advertising that competes directly with brands on STACKS.
- Only use discount codes provided by brands.
4. Linking & Attribution
Referral attribution is evergreen. When a user clicks a unique affiliate link or views a product through an affiliate’s profile, that affiliate is tagged to the user. If the user later makes a purchase, the most recently attributed affiliate will receive credit for the sale—even if the purchase happens in a different session.
Affiliate codes may be introduced in the future as an additional tracking method.
5. Commissions & Payment
- Affiliates earn commissions based on the terms of the brand—either default or custom.
- Commissions are calculated on the top-line revenue (the full purchase price).
- Payments are issued monthly via Stripe Connect, 15 days after the end of the month in which the Qualified Sale occurred.
- No minimum payout threshold is required.
- STACKS handles all payouts and tax documentation through Stripe.
- Recurring commissions apply for subscription-based purchases.
6. Default & Custom Terms
- When a brand joins the Program, they may opt into Default Terms from their affiliate settings.
- Brands may adjust Default Terms at any time, but changes are not retroactive.
- Brands and affiliates may submit Proposals through the STACKS platform.
- Proposals can be approved, denied, or countered. All actions generate an email notification.
- STACKS reserves the right to override any affiliate agreement or term at its discretion.
7. Brand Guidelines & Restrictions
- Affiliates may use the STACKS brand and assets only in accordance with brand guidelines, provided separately.
- Brands may publish their own promotional guidelines. Affiliates must adhere to these when promoting that brand’s products.
- Failure to comply may result in removal from the Program or disqualification from promoting specific brands. While STACKS may issue warnings, enforcement may occur without notice.
8. Confidentiality
If a brand designates the terms of a Proposal as confidential, the affiliate must agree to confidentiality in order to proceed. Breach of confidentiality may result in removal from the Program or other repercussions.
9. Relationship of Parties
Affiliates are independent contractors. Nothing in these Terms creates any partnership, agency, or employment relationship between you and STACKS.
10. Termination
STACKS, a brand, or an affiliate may terminate any agreement at any time within the STACKS platform. STACKS reserves the right to remove an affiliate from the Program without warning.
11. Disputes & Appeals
For disputes or appeals, contact help@stacks.audio. Appeals will be handled on a case-by-case basis.
12. Governing Law
These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles.
13. Limitation of Liability & Indemnification
STACKS shall not be liable for indirect, incidental, special, or consequential damages. You agree to indemnify and hold harmless STACKS and its affiliates from any claims arising from your participation in the Program or breach of these Terms.
14. Modifications
STACKS may modify these Terms at any time. Continued participation in the Program after modifications constitutes your acceptance.
By participating in the STACKS Affiliate Program, you agree to these Terms in full.
